| 中文摘要(Abstrct) | 規約與區分所有權人會議決議，對於公寓大廈住戶產權的界定與調整具有強大的力量，而此力量來源主要係透過民主決議過程的決議規則。現今公寓大廈管理條例，不論是「決議門檻事項」或「非決議門檻事項」特別約定層次之決議，皆採取「實質過半數決」的決議門檻。本文，利用「不確定之幕」概念，探索在此狀態下理性的區分所有權人，是否會同意此決議規則的規定？分析推論結果，在互依成本最小化考量下，理性的區分所有權人，將可能依是否「決議門檻事項」決議層次、產權價值大小、有無強制遷出的產權自由處分限制，選擇不同的決議門檻，惟實際情況仍有待實務的驗證。本文認為「決議門檻事項」層次之決議，宜採取「全體一致決」；「非決議門檻事項」層次之決議，宜恢復普通決議與特別決議的區隔，並思考不同產權價值大小適用不同普通決議門檻的可能性。 |
| ABSTRCT | Decision-making rule is the central role to determine what constitutes deed of mutual covenant（DMC） and the operation of differentiated owners meeting, which in turn define or delimit the range of privileges granted to differentiated owners to condominium assets. This paper adopts an approach based on law and economics that incorporates the “Veil of Uncertainty” to explore related problems of the rational differentiated owner choice among collective decision-making rules in condominium management. The rational differentiated owner will try to chose a decision-making rule that will minimize the expected interdependence costs（external costs plus decision-making costs） of organizing the activity collectively. This paper show that the rational differentiated owner will distinguish between rule of rules level （constitutional level） and the level of action within those rules（post-constitutional level）, and choice different decision-making rules that are related to these different levels. In order to lower transaction costs and to put condominium assets to more valuable uses, this paper suggests that condominium management activities should not be organized through the operation of the same decision-making rule, that the rule of unanimity should be chosen at the constitutional level, and that other different less-than-unanimity rules should be chosen at the post-constitutional level. |
